Agents act on behalf of the principal to negotiate and conclude sales, typically for a commission. Distributors purchase goods from the supplier and resell them in their own name. The contract should clearly identify the nature of the relationship and specify whether the arrangement is exclusive or non-exclusive, and the geographic territory and product scope covered.

Performance obligations are critical. For distributors, set minimum purchase quantities or sales targets, and define marketing and promotional responsibilities.
