Working with Chinese Agents and Distributors: Contract Essentials
Appointing agents or distributors in China requires clear contracts to define exclusivity, territory, sales targets, pricing, intellectual property rights, confidentiality and termination; this article explains key clauses to include.
Choosing to work with a Chinese agent or distributor can be an effective way to enter the market, but the legal framework governing these relationships differs from Western practice. A carefully drafted contract is essential.
Agents act on behalf of the principal to negotiate and conclude sales, typically for a commission. Distributors purchase goods from the supplier and resell them in their own name. The contract should clearly identify the nature of the relationship and specify whether the arrangement is exclusive or non-exclusive, and the geographic territory and product scope covered.
Performance obligations are critical. For distributors, set minimum purchase quantities or sales targets, and define marketing and promotional responsibilities. For agents, specify commission rates, payment schedules and reporting requirements. Pricing guidelines should clarify whether the agent or distributor must adhere to recommended retail prices.
Intellectual property and confidentiality protections are vital. The agreement should state that trademarks, trade names and proprietary know-how remain the property of the principal. Include non-disclosure and non-use obligations to prevent misuse of confidential information. Address ownership of marketing materials and improvements developed during the relationship.
Termination and renewal provisions should outline the contract term, renewal mechanisms, and grounds for termination such as breach, insolvency or failure to meet sales targets. Specify post-termination obligations, including the return of materials, remaining inventory and unsold products. Finally, include governing law, dispute resolution mechanisms (courts or arbitration in China) and language versions to ensure enforceability.
A clear, comprehensive distribution or agency contract reduces misunderstandings and protects both parties. Legal counsel familiar with Chinese commercial law can help tailor agreements to local requirements.
